  • Marketing Strategy and Setup

All services are governed by a separate agreement (such as a Master Creative Services Agreement or Project Order). These Terms supplement but do not override any signed agreements between you and IOI Solutions.

2. Client Responsibilities

By engaging with our services, you agree to:

  • Provide timely access to platforms such as Google Ads, Meta Ads, CRM systems, and your website
  • Supply accurate information, creative assets, and approvals needed to execute campaigns
  • Refrain from modifying active ad campaigns or tracking setups without prior written notice to IOI Solutions

3. Fees and Payments

  • Payment terms are defined in your Project Order or invoice.
  • Late payments may incur a 3% monthly fee.
  • You are responsible for direct payments to ad platforms (e.g. Google, Meta) and any third-party tools or software used.
  • All fees are non-refundable unless otherwise stated in your written agreement.

4. Platform Access and Data Ownership

  • You retain full ownership of your advertising platform accounts, campaign data, and analytics tools.
  • IOI Solutions does not claim ownership of your data but may use anonymized performance data for benchmarking or internal analysis.

5. Intellectual Property

  • All final creative works, landing pages, and content we develop for you are your property only after full payment has been made.
  • IOI Solutions retains ownership of its internal tools, frameworks, code, and processes (e.g. spreadsheets, plugins, templates).
  • We may display final works in our portfolio or promotional materials unless otherwise agreed in writing.

6. Confidentiality

Any proprietary information you share with us—strategy documents, sales data, brand assets—will be kept confidential and used solely to fulfill our obligations.

7. No Guarantees

While we aim to optimize your results, we cannot guarantee specific outcomes such as lead volume, revenue growth, or ad performance due to variables outside our control (market demand, product pricing, etc.).

8. Termination

Your services with IOI Solutions may be governed by a fixed-term agreement. In most cases:

  • You may not terminate early for convenience unless your contract permits it
  • Either party may terminate for breach with written notice and opportunity to cure
  • Upon termination, all unpaid fees remain due, and we will transfer account access back to you

9. Disclaimer of Warranties

Our website and services are provided “as is” without warranties of any kind, either express or implied, including but not limited to:

  • Fitness for a particular purpose
  • Merchantability

10. Limitation of Liability

IOI Solutions will not be liable for:

  • Loss of profits, business, or data
  • Indirect, incidental, or consequential damages
    Our maximum liability is limited to 50% of the total amount you’ve paid to us under the relevant agreement.

These Terms are governed by the laws of the State of California. Any disputes will be handled through negotiation, arbitration, or in the courts of Los Angeles County, CA, as applicable.
